We wish to inform you that the 32nd Annual General Meeting (the "AGM") of the members of Axis Bank Limited (the "Bank") was held today i.e., July 31, 2026, through Video Conferencing ("VC")/Other Audio Visual Means ("OAVM") wherein, the business(es) as mentioned in the Notice of AGM dated April 25, 2026 were transacted.

 

In this regard, we enclose the following:

 

1.   Summary of the proceedings of the AGM;

2.   Report of the Scrutinizer dated July 31, 2026 issued by CS KVS Subramanyam, Practising Company Secretary (Membership no. FCS 5400 and Certificate of Practice no. 4815), Senior Partner of Ahalada Rao. V and Associates; and

The requisite quorum being present, N. S. Vishwanathan, Chairman of the Board, welcomed the members and commenced the proceedings of the meeting. He thereafter, introduced the Directors of the Bank.

 

The members were informed that the AGM was being conducted through VC/OAVM, in accordance with the applicable circulars issued by the Securities and Exchange Board of India ("SEBI"), Ministry of Corporate Affairs ("MCA") and under the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations") and the Companies Act, 2013 and the Rules made thereunder. The members were also informed that the Integrated Annual Report and the Notice convening the AGM, the Audited Financial Statements (Standalone and Consolidated) for the year ended March 31, 2026 along with the Boards' Report, the Auditors' Report and other documents required to be attached thereto were sent through electronic mode to those members who had registered their email address(es). Further, the Bank has sent to shareholders whose email addresses are not registered, at their latest available postal addresses, a letter providing the QR code, web-link and the exact path, where Notice of this AGM and the Integrated Annual Report is available.

 

Sandeep Poddar, Company Secretary, briefed the members on the process of e-voting. He informed that the remote e-voting facility for the AGM was made available from Monday, July 27, 2026, 9:00 a.m. (IST) up to Thursday, July 30, 2026, 5:00 p.m. (IST). The members were also informed that the e-voting facility was made available during the meeting which continued for 15 minutes post conclusion of the meeting, for members who had not cast their votes on the resolutions through remote e-voting facility and the Scrutinizer will submit his report after verification of the votes and the results will be declared, as per the extant norms.

 

The Chairman then delivered his speech and provided insights on various areas, such as macro-economic environment, GPS strategy, financial performance for fiscal 2026 and Q1 of fiscal 2027, digital capabilities, Bank's geographical reach, corporate social responsibility & sustainability activities, ESG strategy, etc. He thereafter placed on record his gratitude to all the members for having reposed their confidence in the Bank and continuing association.

 

Thereafter, he invited queries from the members. The members of the Bank, inter alia, raised queries on various subject matters such as dividend payout, financial performance, Bank's future strategy, customer service, branches, ATMs, cyber security/fraud, Gen AI, CSR/ESG initiatives, fraud detection, non-performing assets, capex plans, branches and business from overseas locations, employee strength/training, stock split. Queries raised by the members, were appropriately responded to by Amitabh Chaudhry, Managing Director & CEO of the Bank.

 

The Chairman thereafter announced the conclusion of the 32nd Annual General Meeting of the Bank at 12:29 p.m. (IST).

 

The following businesses as set out in the Notice dated April 25, 2026, convening this AGM were transacted through remote e-voting & e-voting during the AGM and have been passed by the members with requisite majority:

 

Ordinary Businesses:

 

1.   Adoption of the:

(a)  audited standalone financial statements of the Bank, for the fiscal year ended                 March 31, 2026 and the reports of the Board of Directors and the Auditors thereon; and

(b)  audited consolidated financial statements, for the fiscal year ended March 31, 2026 and the report of the Auditors thereon.

2.   Declaration of dividend on the equity shares of the Bank, for the fiscal year ended March 31, 2026.

3.   Re-appointment of Subrat Mohanty (DIN: 08679444) as a director, who retires by rotation and being eligible, has offered himself for re-appointment.

4.   Re-appointment of Nurani Subramanian Vishwanathan (N. S. Vishwanathan) (DIN: 09568559) as an Independent Director of the Bank.
