AUCTION TECHNOLOGY GROUP PLC ("ATG", "The Company")
Statement regarding requisition notice from FitzWalter Capital Limited ("FitzWalter")
The Board of ATG (the "Board") notes the announcements made by FitzWalter on 26 October 2026 and confirms that it has today received from FitzWalter a notice requiring the Board to call a general meeting of the Company. The Board's focus remains on acting in the best interests of all shareholders and is confident of delivering significant shareholder value through implementation of our strategic plan.
The Board is disappointed that FitzWalter has chosen to send a requisition notice, which would require shareholders to participate in a general meeting. The Board believes this does not reflect the significant progress and momentum in the business, with the share price having risen 72%¹ since the start of the year. The requisition is an unnecessary and unwarranted distraction from the delivery of the Company's strategy.
The Company will announce its results for the year ended 30 September 2026 on 24 November 2026, including further detail on the outlook for FY2027.
A further update in relation to this matter will be provided in due course.
