ASA International Group plc (LSE: ASAI), one of the world's largest international microfinance institutions, today provides an update statement on the outcome of the 2025 Annual General Meeting.

The Board appreciates the support shown by the majority of shareholders for all the resolutions at the Annual General Meeting (AGM) held on 19 June 2025. However, in relation to Resolution 18, just less than 80% approval was received. Due to the votes against being greater than 20% and in line with provision 4 of the UK Corporate Governance Code, ASA International has undertaken a shareholder consultation exercise. This involved writing to the largest independent shareholders explaining the purposes and rationale of the Rule 9 waiver resolution.

The intention is that any direct engagement meetings following this outreach will be held in the early part of 2026. The feedback from these meetings alongside any written feedback will be reflected in the preparations ahead of the next AGM to be held on 3 June 2026. A final summary of this consultation process will be included in the 2025 Annual Report.
