Transaction in Own Shares and Share Buyback Update
London and Lagos, 18 August 2026: Airtel Africa announces that in the period 10 August 2026 to 14 August 2026 it purchased the following number of its ordinary shares of USD 0.50 each from Barclays Capital Securities Limited ("Barclays") pursuant to the authority granted by its shareholders as part of its share buyback programme, details of which were announced on 22 May 2026.

The purchased ordinary shares will be cancelled.
Since the commencement of the buyback programme with Barclays Capital Securities Limited announced on 22 May 2026, the Company has purchased 18,338,632 ordinary shares in aggregate, at a volume weighted average price of 337.11 GBp per ordinary share.

Share buyback update
The Company announces that it has entered into an amendment agreement with Barclays Capital Securities Limited ("Barclays") in relation to the share buyback programme announced on 22 May 2026.
Under the amendment agreement, the maximum aggregate notional amount of discretionary purchase orders that may be submitted under the agreement with Barclays has been increased by $15m, from $50m to $65m. All other terms of the agreement announced on 22 May 2026 remain unchanged.
Accordingly, the amended agreement with Barclays now comprises two elements operating in parallel:
· a non-discretionary element pursuant to which Barclays will purchase up to $60m and not less than $50m of ordinary shares and will make trading decisions independently of the Company; and
· a discretionary element pursuant to which the Company may, at its discretion and subject to applicable legal and regulatory requirements, provide instructions to Barclays for the purchase of up to $65m of ordinary shares.
The sole purpose of the buyback programme is to reduce the capital of the Company. All shares purchased under the programme will continue to be cancelled.
