Winsford, UK: Advanced Medical Solutions Group plc (AIM: AMS), the world-leading specialist in tissue-healing technologies, will hold its Annual General Meeting ("AGM") at 11.00 a.m. today at the offices of Investec Bank plc, 30 Gresham Street, London, EC2V 7QP.

 

The results of the AGM will be announced to the London Stock Exchange and placed on the Group's website, in the usual way, as soon as practicable after the conclusion of the AGM.

 

Offer period & no new material information

As announced by AMS and H.B. Fuller Company ("H.B. Fuller") respectively on 21 May 2026, on 30 April 2026 AMS received an unsolicited proposal from H.B. Fuller regarding a possible cash offer for the entire issued and to be issued share capital of AMS (the "Possible Offer").

 

As previously announced, in accordance with Rule 2.6(a) of the Code, H.B. Fuller is required, by no later than 5.00 p.m. (London time) on 18 June 2026, to either announce a firm intention to make an offer for AMS in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies. This deadline can be extended with the consent of the Takeover Panel in accordance with Rule 2.6(c) of the Code.

 

The AMS Board will make no further comment on the Possible Offer at today's AGM, and no other new material information on AMS will be provided.

 

This announcement is being made without the approval of H.B. Fuller.
