Notice of AGM and Directorate Change

Adsure Services PLC ("Adsure" or the "Company"), a leading provider of audit and assurance services and the holding company for TIAA Limited (together, "the Group"), announces that its 2026 Annual General Meeting ("AGM") will be held on Monday 21 September 2026 at 10.30am (BST) at a private meeting room at Duck & Waffle,110 Bishopsgate, 40th Floor, London, EC2N 4AY.

Further information on the resolutions to be proposed at the Meeting can be found in the Notice of AGM circular that has been made available on the Company's website at: www.adsureservicesplc.co.uk

The proposed final dividend of 0.95 pence per share is subject to approval by shareholders at the AGM, the following revised distribution timetable will apply:

Ex-dividend date	Thursday 24 September 2026
Record date	Thursday 25 September 2026
Payment date	Friday 9 October 2026

 

Jeff Zitron to step down from the Board of Adsure Services Plc

The Company also gives notice that Jeff Zitron, Non-Executive Director and Chair will not be seeking re-election at the forthcoming AGM and has informed the Company that he will be retiring from the Board of Adsure Services at the conclusion of the meeting after 18 years of service to the Company and its operating subsidiary, TIAA Limited.

Mark Knight will assume the role of interim Non-Executive Chair until a replacement has been appointed.  

Kevin Limn, Chief Executive Officer of Adsure Services Plc, commented:

"I would like to place on record my gratitude to Jeff Zitron, who has been instrumental in TIAA's growth and the subsequent listing of Adsure. As Chair of the Board Jeff has calmly led us into the world of being a PLC. His 18 years of service have seen significant development in the Group and he leaves sound foundations for us to build from. I consider myself fortunate to have had the opportunity to work closely with Jeff over the past four years, I have learnt so much from him. Jeff will remain a key shareholder of Adsure, I know he will be cheering us on from the sidelines."

Jeff Zitron, Non-Executive Chairperson of Adsure Services Plc, commented:
