AGM Statement

Active Energy, which is developing integrated, power-backed critical infrastructure platforms supporting artificial intelligence ("AI"), next-generation digital infrastructure and other strategically important industries across the United Arab Emirates ("UAE"), is pleased to provide shareholders with an operational and strategic pipeline update ahead of today's Annual General Meeting which will be held at 11.30 a.m. at the offices of Blake Morgan LLP, 6 New Street Square, London, EC4A 3DJ.

Since establishing its operational presence within the UAE earlier this year, the Company has continued to execute against its strategy of developing a scalable portfolio of power-backed infrastructure assets capable of supporting one of the world's fastest-growing digital economies.

 

Operational & Pipeline Highlights

·      Continued execution of AEG's UAE growth strategy and expansion of its operational presence.

·      Previously announced Khazna and Taweela opportunities continue to progress through technical, commercial and contractual due diligence.

·      Ongoing collaboration with Bitdeer Technologies Group to develop a scalable UAE infrastructure deployment strategy.

·      Additional infrastructure opportunity identified through the Private Office of His Highness Sheikh Mohammed bin Ahmed bin Hamdan bin Mohammed Al Nahyan, with an initial 5 MVA of available grid capacity and expansion potential to approximately 10 MVA.

·      Evaluation of substantially larger 50-100 MVA infrastructure opportunities as part of the Company's expanding pipeline, supporting potential future large-scale deployments.

 

Delivering the UAE Strategy

Since entering the UAE market, AEG has continued to execute against a clearly defined strategy of building an integrated, power-backed critical infrastructure platform.

The Company has established a number of strategic relationships and announced key milestones, including the proposed Khazna Grid Infrastructure Asset, the Taweela Grid Connection, and the strategic agreement with the Private Office of His Highness Sheikh Mohammed bin Ahmed bin Hamdan bin Mohammed Al Nahyan together with Black Road Investment Group.

As previously announced, both the Khazna and Taweela opportunities continue to progress through technical, commercial and contractual due diligence.

The Board believes these milestones demonstrate the consistent execution of the Company's UAE strategy and provide strong foundations for the next phase of growth.

 

Building a Scalable Infrastructure Pipeline

Alongside progressing its previously announced projects, AEG continues to work closely with Bitdeer Technologies Group to develop a scalable infrastructure deployment strategy within the UAE.

Whilst the Company's previously announced 8 MVA infrastructure opportunity remains an important component of those discussions, management's focus has increasingly expanded towards building a broader pipeline of strategically located, power-backed infrastructure capable of supporting future large-scale deployment requirements.

 

Expanding Infrastructure Opportunities

Working alongside the Private Office of His Highness Sheikh Mohammed bin Ahmed bin Hamdan bin Mohammed Al Nahyan and Black Road Investment Group, the Company continues to identify and evaluate additional strategic infrastructure opportunities across the UAE.

The Board is pleased to report that the Sheikh's Office has identified a strategically located site which is currently being progressed for acquisition. Subject to satisfactory due diligence and completion, the site is expected to provide an initial 5 MVA of immediately available grid capacity, with the potential to increase to approximately 10 MVA through future infrastructure expansion.

In parallel, as part of the Company's ongoing strategic discussions with Bitdeer Technologies Group, AEG continues to evaluate a number of substantially larger infrastructure opportunities capable of supporting developments in the order of 50-100 MVA.

Management believes opportunities of this scale are increasingly aligned with the future deployment requirements of major AI, high-performance computing and digital infrastructure operators and represent the next stage in the evolution of the Company's infrastructure platform.

Whilst all opportunities remain subject to technical, commercial and contractual due diligence and the execution of definitive agreements, the Board is encouraged by both the calibre and increasing scale of the pipeline currently under review.

 

Positioning for Long-Term Growth

The Board believes the Company's activities are evolving beyond individual infrastructure projects towards the development of an integrated, power-backed critical infrastructure platform.

The convergence of artificial intelligence, resilient energy infrastructure, high-performance computing and digital infrastructure is creating significant long-term opportunities across the UAE.

Supported by its growing operational presence, expanding strategic partnerships and strengthening development pipeline, the Board believes AEG is increasingly well positioned to participate in these structural growth markets.

The Company looks forward to providing further updates as these initiatives continue to progress.
