Block Admission Application

 

ACG Metals Limited ("ACG" or the "Company") has applied to the London Stock Exchange ("LSE") for a block admission of 235,000 class A ordinary shares of no par value in the capital of the Company (the "Block Admission Shares") to trading on the LSE's main market for listed securities.

The Block Admission Shares will be reserved for issue from time to time to satisfy the exercise of warrants in the capital of the Company and the vesting and exercise of awards ("Awards") under share-based incentive plans for management and employees.

The Block Admission Shares will not be issued on admission. They will be issued only as and when warrants are exercised in accordance with their terms, or Awards vest or are exercised in accordance with the rules of the relevant incentive plan. The Block Admission Shares will, when issued, be fully paid and rank pari passu in all respects with the existing class A ordinary shares of the Company in issue, including the right to receive all dividends and other distributions declared, made or paid after the date of issue.

It is expected that admission of the Block Admission Shares will become effective at 8.00 a.m. on 15 September 2026.

The Company's issued share capital and total voting rights are unchanged by this application. The Company will notify a Regulatory Information Service of the admission to trading of class A ordinary shares issued out of the block admission in accordance with the applicable requirements of the Public Offers and Admissions to Trading regime from time to time.

In September 2024, ACG successfully completed the acquisition of the Gediktepe mine.
