3i Group plc (the "Company") confirms that an application has been made to the London Stock Exchange for a total of 21,034,845 new ordinary shares of 73 19/22 pence in the Company to be admitted to trading on the London Stock Exchange (the "New Shares"). The New Shares are expected to be admitted to trading on the London Stock Exchange at 08:00am on 28 August 2026.

The New Shares are being issued as consideration for the acquisition of further partnership interests in 3i 2020 Co-Investment 1 SCSp, representing an indirect interest of approximately 1.8% of the equity in Peer Holding I B.V., the parent company of the Action group. The number of New Shares has been calculated at an implied price of £31.31 per 3i share, in line with the Company's published net asset value per share as at 30 June 2026. The New Shares are subject to lock-up restrictions preventing their sale for nine months, save for customary exceptions.

Following the issue of the New Shares (which is expected to take place at or around 08:00am on 28 August 2026), the Company's issued share capital will consist of 1,026,067,970 ordinary shares of 73 19/22p each ("Ordinary Shares"), with voting rights. Each Ordinary Share carries the right to one vote in relation to all circumstances at general meetings of the Company. The Company does not hold any Ordinary Shares in treasury. The New Shares will rank pari passu with the existing Ordinary Shares.

As from around 08:00am on 28 August 2026, the total voting rights figure of 1,026,067,970 Ordinary Shares may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

For the purposes of the Transparency Directive the Home Member State of 3i Group plc is the United Kingdom.
