Update in relation to Petra Diamonds UK Treasury Limited

 

 

The Company announces that a winding-up petition in respect of Petra Diamonds UK Treasury Limited ("PDUK Treasury"), a wholly owned, indirect subsidiary of the Company, has today been advertised in the London Gazette by HM Revenue & Customs ("HMRC") (the "Petition") in respect of £5,647,811.32 for the year ended 30 June 2025, due to HMRC in relation to corporation tax. This arose in respect of interest income accrued on a receivable due from Ealing Management Services (Proprietary) Limited, another indirectly, wholly owned subsidiary of the Company and affiliate of PDUK Treasury. This liability to tax arose notwithstanding that the accrued interest was not and has not been received by PDUK Treasury from its affiliate. Both PDUK Treasury and Ealing Management Services (Proprietary) Limited are non-operating subsidiaries of the Company and do not own or operate any of Petra’s mining operations.

 

The Petition has been filed with the court and the hearing date for the Petition is scheduled for 14 October 2026. The Petition relates solely to PDUK Treasury and does not directly affect the Group’s mining operations. The Company is assessing the implications of the Petition for the Group’s financing arrangements and ongoing refinancing discussions
