Sdiptech AB (publ) ("Sdiptech" or the “Company”) has, as part of the Company’s commitments to exercise active management of its balance sheet, mandated Nordea Bank Abp ("Nordea") and Skandinaviska Enskilda Banken AB (publ) ("SEB") to arrange a series of fixed income investor meetings starting on 1 September 2026. Subject to prevailing market conditions, Sdiptech may thereafter issue senior secured floating rate bonds in an initial amount of up to SEK 400 million, within a total framework of SEK 1 billion, with a tenor of four years (the "New Bonds").
In connection with the contemplated issue of the New Bonds, Sdiptech will offer holders of the Company’s outstanding senior bonds 2023/2027 maturing in August 2027 with ISIN SE0017132053 and an outstanding amount of SEK 800 million (of which the Company previously has repurchased, but not cancelled, SEK 250 million) (the “Outstanding Bonds”) to tender any and all of their Outstanding Bonds for repurchase by the Company for cash whereby Sdiptech repurchases the Outstanding Bonds at a price of 101.98 per cent. of the nominal amount plus accrued but unpaid interest (the "Tender Offer").
The Tender Offer expires at 12.00 CEST on 4 September 2026 unless extended, reopened, withdrawn or terminated at the discretion of the Company. Settlement of the Tender Offer is expected to occur on or about 10 September 2026 and is expected to coincide with the settlement date of the New Bonds to the extent possible. In connection with the allotment of the New Bonds, the Company will consider, inter alia, whether the investor seeking allotment of the New Bonds has validly participated in the Tender Offer. The Tender Offer is in its entirety conditional upon, among other things, a successful issue of the New Bonds.

Subject to a successful issuance of the New Bonds, Sdiptech further announces that it will exercise its right to voluntarily redeem early any Outstanding Bonds not repurchased through the Tender Offer (the “Early Redemption”). The Early Redemption is conditional upon the issuance of the New Bonds. In the event of such Early Redemption, the Outstanding Bonds will be redeemed in full on 25 September 2026 at a price equal to 101.98 per cent. of the nominal amount (including an SPT premium due to redemption prior to the SPT test date) plus accrued and unpaid interest. The redemption amount will be paid to each person who is registered as owner of Outstanding Bonds as of the record date, being 18 September 2026, in the debt register maintained by Euroclear Sweden. A notice of the Early Redemption will be sent to directly registered owners of the Outstanding Bonds in the debt register as of 31 August 2026.
Nordea and SEB have been mandated to act as arrangers and joint bookrunners in connection with the issue of the New Bonds and dealer managers in the Tender Offer. Mannheimer Swartling is acting as legal advisor to Sdiptech.
