Proposed Fundraising of approximately £135 million to develop the South Crofty tin project

Summary by AI BETAClose X

Cornish Metals plc is undertaking a proposed fundraising of approximately £135 million at an issue price of 60 pence per new ordinary share to develop its South Crofty tin project. This fundraising includes a conditional placing to institutional investors, direct subscriptions from Glencore for £11.2 million, Vision Blue Resources, National Wealth Fund, and directors, as well as a retail offer. The net proceeds will fund the South Crofty tin mine development, with the company also announcing a six-year offtake agreement with Glencore for tin concentrate. Proposed Fundraising of approximately £135 million to develop the South Crofty tin project

Entry into 6 year offtake agreement with Glencore

20 October 2026

Cornish Metals plc (AIM: TIN) (“Cornish Metals” or the “Company”), a mineral exploration and development company focused on advancing its wholly owned and permitted South Crofty tin project in Cornwall, United Kingdom, is pleased to announce that it is undertaking a proposed fundraising to raise approximately £135 million (before expenses) (or such other amount as may be agreed) at a price of 60 pence (the "Issue Price") per new ordinary share of 0.05 pence each in the capital of the Company (“Ordinary Share”). The Fundraising comprises:

  • A conditional placing to new and existing institutional investors (the “Placing”);
  • Conditional direct subscriptions with the Company by each of:
    • Glencore International AG ("Glencore") for c. £11.2 million;
    • Vision Blue Resources Limited ("VBR" or “Vision Blue”) for approximately up to its pro rata entitlement in the Fundraising with such number to be confirmed on announcement of the results of the Fundraising;
    • National Wealth Fund Limited ("NWF") for up to c. 29.5 per cent. of the total amounts subscribed for in the Fundraising, with such number to be confirmed on announcement of the results of the Fundraising;
    • certain directors of the Company and certain other investors for, in aggregate, £1.0 million (together, the “Subscriptions”); and
  • a retail offer through RetailBook Limited (“RetailBook”) (the “Retail Offer” and together with the Placing and the Subscriptions, the “Fundraise” or “Fundraising”).

Net proceeds from the Fundraising are expected to be utilised to develop the South Crofty tin mine in Cornwall.

As part of the Fundraising, the Company announces that it has conditionally raised approximately £11.2 million by way of a strategic investment by Glencore, pursuant to which Glencore has conditionally agreed to subscribe for 18,718,319 new Ordinary Shares (the “Glencore Subscription Shares”) at the Issue Price (the “Glencore Subscription”).

The Company is also pleased to announce that the Company's wholly-owned subsidiary, South Crofty Limited, has entered into an offtake agreement with Glencore (the "Glencore Offtake Agreement"), further details of which are set out below. Glencore is one of the world’s largest global diversified natural resource companies and a major producer and marketer of more than 60 commodities. The company has a strong footprint in over 30 countries in both established and emerging regions for natural resources.

The Placing is being conducted through an accelerated bookbuild process (the "Bookbuild") which will be launched immediately following release of this Announcement (as defined below). The timing of the closing of the Bookbuild and the allocations are at the absolute discretion of the Joint Bookrunners and the Company. Cornish Metals has engaged each of Peel Hunt LLP (“Peel Hunt”) and Joh. Berenberg, Gossler & Co. KG, London Branch (“Berenberg”) as joint bookrunners (the “Joint Bookrunners”) and SP Angel Corporate Finance LLP (“SP Angel”) and H&P Advisory Ltd (“Hannam & Partners”) as placing agents (the “Placing Agents”).

The Placing is subject to the terms and conditions set out in Appendix I to this announcement (which forms part of this announcement, such announcement and the Appendix together being this "Announcement"). Capitalised terms in the Announcement which are not otherwise defined shall have the meaning as set out in Appendix II.

The Subscription Shares will be subscribed for on the terms of the Subscription Agreements, rather than pursuant to the terms and conditions of the Placing. No part of the Fundraising is being underwritten.

All times and dates referred to in this announcement, unless indicated otherwise, are to times and dates in London, England.

As announced on 14 October 2026, the Company has decided to utilise a Capital Access Window in connection with the Fundraising. This is a voluntary pause to the trading of a Company's shares to make it easier for companies to reach a broader range of investors during a fundraise. The Company remains in a Capital Access Window, and trading in the Ordinary Shares will remain paused, until a further announcement is made detailing the results of the Fundraising.

Background and rationale for the Fundraising

On 7 May 2026, the Company announced that it had successfully completed an oversubscribed placement of US$210 million of new six-year, callable senior secured Nordic Bonds with a coupon rate of 13.5 per cent. per annum. The placement completed on 6 May 2026 and was met with strong investor demand across European, North American, and other international markets. The Nordic Bonds were admitted to trading on Nordic ABM on 5 August 2026.

The proceeds of the issue of the Nordic Bonds are being held in an escrow account and will not be capable of being drawn down by the Company until the conditions precedent to release from escrow have been satisfied. An important condition precedent is for the Company to have completed an equity fundraising of at least US$161 million by 21 November 2026 (unless such date is extended with the bondholders’ consent). The Fundraising, if approved by shareholders by duly-passing the Resolutions at the General Meeting, will satisfy this condition given the USD equivalent of the proposed Fundraising quantum is approximately US$188 million as at the date of this announcement.

The Fundraising, together with the proceeds from the Nordic Bonds once capable of drawdown, positions Cornish Metals to develop its flagship tin project, South Crofty, to first production in mid-2028 delivering a secure domestic supply of tin. Ahead of first production the Company requires certain planning, environmental and other consents, approvals and variations as part of its redevelopment and later operation of the mine.

Sources and use of proceeds

In addition to the Company’s existing cash resources (cash balance of £11.6 million as at 1 October 2026, excluding the funds from the Nordic Bonds held in escrow), the net proceeds of the Fundraising and the proceeds of the Nordic Bonds (once capable of drawdown) are intended to be allocated towards the following workstreams relating to the development of South Crofty:

* The Company continues to evaluate a number of potential strategic opportunities, including the acquisition of mineral interests, exploration projects and complementary assets both within and outside the United Kingdom. While no binding agreement has been entered into, the Board considers it prudent to maintain balance sheet flexibility to pursue such opportunities should they arise. Any such transaction may be funded, in whole or in part, through the issue of new ordinary shares of the Company as consideration.

Further information concerning the Company's operations can be viewed on its website at https://investors.cornishmetals.com.

Don Turvey, CEO of Cornish Metals commented: “We are pleased to announce the proposed Fundraise, supported not only by our existing cornerstone shareholders, the National Wealth Fund and Vision Blue, but also by the investment of approximately £11.2 million from Glencore and the entry into the offtake agreement. The strength and calibre of our expanded shareholder register, together with the oversubscribed debt financing announced in May, demonstrate the strategic importance of the South Crofty project to both the UK and the wider Western critical minerals supply chain.

We are also delighted to partner with RetailBook, providing retail investors with the opportunity to participate in the Fundraise. Further details will be announced in due course.

The capital raised through this Fundraise will support the continued development of the South Crofty tin mine towards production. Significant progress has already been achieved both underground and on surface, and this funding will allow us to accelerate development activities while securing the remaining long-lead items essential for the project's delivery.”

Details of the Fundraise

The proposed Fundraise of c. £135 million (before expenses) (or such other amount as may be agreed) is expected to comprise:

  • the Placing through the issue of new Ordinary Shares (“Placing Shares”) at the Issue Price;
  • the Glencore Subscription of approximately £11.2 million (before expenses) through the issue of 18,718,319 Glencore Subscription Shares at the Issue Price;
  • the subscription by VBR for approximately its pro rata entitlement in the Fundraising with such number to be confirmed on announcement of the results of the Fundraising (the "VBR Subscription Shares") at the Issue Price (the "VBR Subscription");
  • the subscription by NWF for up to c. 29.5 per cent. of the total amounts subscribed for in the Fundraising, with such number to be confirmed on announcement of the results of the Fundraising (the "NWF Subscription Shares") at the Issue Price (the "NWF Subscription");
  • the subscription by each of Tony Trahar, Stephen Gatley, Don Turvey, Samantha Hoe-Richardson, Patrick Anderson, Andy Quinn, Danny Callow and Hennie Faul (the "Participating Directors") and certain other investors (together, the "Participating Directors and Investors") for, in aggregate, 1,716,665 new Ordinary Shares (the "Participating Director and Investor Subscription Shares") at the Issue Price to raise approximately £1.0 million (before expenses) (the "Participating Director and Investor Subscriptions"); and
  • the Retail Offer to raise additional funds through the issue of new Ordinary Shares (“Retail Offer Shares” and together with the Glencore Subscription Shares, the VBR Subscription Shares, the NWF Subscription Shares, the Participating Director and Investor Subscription Shares and the Placing Shares, the “Fundraise Shares”). The Retail Offer is subject to and conditional on the Placing.
  • A further announcement will be made shortly in connection with the Retail Offer.

The Fundraise is conditional on, amongst other things, the Fundraising raising £135 million (or such other amount as the Company, VBR, NWF, Glencore, the Joint Bookrunners and the Placing Agents may agree).

It is also conditional upon the approval of Shareholders at a general meeting of the Company, to be convened shortly (the “General Meeting”). Each of the Placing, the VBR Subscription, the NWF Subscription, the Glencore Subscription, the Participating Director and Investor Subscriptions and the Retail Offer are conditional on each other, meaning that if any one of those elements does not occur, nor would the other elements.

The Directors consider the Resolutions to be in the best interests of Shareholders and recommend Shareholders vote in favour of the Resolutions, as those Directors that hold Ordinary Shares in the Company intend to do.

The Placing is subject to the terms and conditions set out in Appendix I to this announcement, which forms part of this Announcement.

Additional information on the Placing

The final number of Placing Shares to be issued pursuant to the Placing will be determined by the Company and the Joint Bookrunners following closure of the Bookbuild.

The Placing is subject to the terms and conditions set out in the Appendix I to this Announcement. The Bookbuild will determine final demand for and participation in the Placing. The Bookbuild is expected to close not later than 7 p.m. on 21 October 2026, but may be closed at such earlier or later time as the Joint Bookrunners and the Placing Agents, in their absolute discretion (following consultation with the Company), determine.

Details of the result of the Placing will be announced as soon as practicable after closure of the Bookbuild. Attention is drawn to the detailed terms and conditions of the Placing described in Appendix I (which forms part of this Announcement). By choosing to participate in the Placing and by making an oral and legally binding offer to acquire Placing Shares, investors will be deemed to have read and understood this Announcement in its entirety (including the Appendices) and to be making such offer on the terms and subject to the conditions in it, and to be providing the representations, warranties and acknowledgements contained in Appendix I.

The completion of the Placing is conditional upon, inter alia, admission of the Placing Shares to trading on AIM, receipt of shareholder approval at the General Meeting and completion of the Subscriptions and the Retail Offer. The Placing Shares, if issued, will be fully paid and will rank pari passu in all respects with each other and with the existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid on or in respect of the Ordinary Shares after the date of issue of the Placing Shares.

Board nomination right

Leonidsport B.V., an existing shareholder in the Company, has indicated its intention to participate in the Placing, raising £13.35 million (gross) for the Company. Leonidsport is a Netherlands-incorporated investment company established by Margarita Louis-Dreyfus and her sons Kyril, Maurice and Eric Louis-Dreyfus. It invests the family's permanent capital on a long-term basis.

Subject to such participation, for so long as Leonidsport holds at least 6 per cent. of the voting rights in the share capital of the Company, the Company has agreed to grant it the right, subject to certain conditions, to nominate one person for appointment to the Board as a non-executive director. The identity and appointment of any such nominee will be subject to the approval of the Company and its nominated adviser following the completion of such due diligence as the nominated adviser considers appropriate, including for the purposes of assessing the Company's continuing appropriateness for admission to trading on AIM.

Glencore Subscription and the Glencore Offtake Agreement

Glencore has entered into the Glencore Subscription Agreement with the Company dated 20 October 2026, pursuant to which it has conditionally agreed to subscribe for the Glencore Subscription Shares at the Issue Price, raising a total of c. £11.2 million for the Company (before expenses).

The Glencore Subscription Agreement is conditional, amongst other things, on (i) the passing of the Resolutions; (ii) the Placing Agreement becoming unconditional in accordance with its terms; (iii) the other Subscriptions becoming unconditional in accordance with their terms; (iv) the Fundraise raising at least £135 million for the Company (before expenses) (or such other amount as the Company, VBR, NWF, Glencore, the Joint Bookrunners and the Placing Agents may agree); and (v) Admission occurring on or before 8.00 a.m. on 10 November 2026 (or such later date as Glencore and the Company may agree being not later than 8.00 a.m. on 20 November 2026).

In connection with the subscription by Glencore, Glencore has also entered into the Glencore Offtake Agreement. The principal terms of the Glencore Offtake Agreement are as follows:

Counterparty: Glencore International AG.
Product: tin concentrate.
Duration: consecutive six-year duration (basis of a minimum aggregate delivery volume of 27,513 mtu tin contained) commencing on the date of commercial production start.
Quantity: 100% of tin concentrates produced.
Commencement: Deliveries aligned with the planned start of production, currently targeted for 2028.

This agreement contains certain customary commercial provisions relating to pricing, delivery and payment. The Company and Glencore have also signed heads of terms for the potential provision of an up to US$10 million revolving working capital facility which may be provided by Glencore to the Group.

The VBR Subscription

Vision Blue has entered into the VBR Subscription Agreement with the Company dated 20 October 2026, pursuant to which it has conditionally agreed to subscribe for the VBR Subscription Shares at the Issue Price, for up to, approximately, its pro rata entitlement in the Fundraising with such number to be confirmed on announcement of the results of the Fundraising.

The VBR Subscription Agreement is conditional, amongst other things, on (i) the passing of the Resolutions to be proposed at the General Meeting; (ii) the Placing Agreement becoming unconditional in accordance with its terms; (iii) the other Subscriptions becoming unconditional in accordance with their terms; (iv) the Fundraise raising at least £135 million for the Company (before expenses) (or such other amount as the Company, VBR, NWF, Glencore, the Joint Bookrunners and the Placing Agents may agree); and (v) Admission occurring on or before 8.00 a.m. on 10 November 2026 (or such later date as Vision Blue and the Company may agree being not later than 8.00 a.m. on 20 November 2026).

VBR Debt Set Off Deed

In connection with the subscription by Vision Blue, Vision Blue and the Company have also entered into the VBR Debt Set Off Deed dated 20 October 2026, pursuant to which the Company and Vision Blue have conditionally agreed to set off amounts owed by the Company to Vision Blue under the VBR Facility against amounts due from Vision Blue to the Company in respect of the subscription by Vision Blue of the VBR Subscription Shares pursuant to the VBR Subscription Agreement.

The NWF Subscription

NWF has entered into the NWF Subscription Agreement with the Company dated 20 October 2026, pursuant to which it has conditionally agreed to subscribe for the NWF Subscription Shares at the Issue Price, for up to c. 29.5 per cent. of the total amounts subscribed for in the Fundraising, with such number to be confirmed on announcement of the results of the Fundraising.

The NWF Subscription Agreement is conditional, amongst other things, on (i) the passing of the Resolutions to be proposed at the General Meeting; (ii) the Placing Agreement becoming unconditional in accordance with its terms; (iii) the other Subscriptions becoming unconditional in accordance with their terms; (iv) the Fundraise raising at least £135 million for the Company (before expenses) (or such other amount as the Company, VBR, NWF, Glencore, the Joint Bookrunners and the Placing Agents may agree); and (v) Admission occurring on or before 8.00 a.m. on 10 November 2026 (or such later date as NWF and the Company may agree being not later than 8.00 a.m. on 20 November 2026).

The NWF Debt Set-Off Deed

In connection with the subscription by NWF, NWF and the Company have also entered into the NWF Debt Set Off Deed dated 20 October 2026, pursuant to which the Company and NWF have conditionally agreed to set off amounts owed by the Company to NWF under the NWF Facility against amounts due from NWF to the Company in respect of the subscription by NWF of the NWF Subscription Shares pursuant to the NWF Subscription Agreement.

Participating Director and Investor Subscriptions

The Participating Directors and Investors have each signed a Participating Director and Investor Subscription Agreement, pursuant to which the Participating Directors and Investors have conditionally agreed to subscribe for, in aggregate, the Participating Director and Investor Subscription Shares at the Issue Price, raising a total of c. £1.0 million for the Company (before expenses).

The Participating Director and Investor Subscription Agreements are each conditional, amongst other things, on (i) the passing of the Resolutions to be proposed at the General Meeting; (ii) the Placing Agreement becoming unconditional in accordance with its terms; (iii) the other Subscriptions becoming unconditional in accordance with their terms; and (iv) Admission occurring on or before 8.00 a.m. on 10 November 2026 (or such later date as Participating Directors and Investors and the Company may agree being not later than 8.00 a.m. on 20 November 2026).

Issue of Galena Milestone Shares

Upon the Company's final investment decision in respect of the South Crofty project becoming effective, a further and final deferred consideration payment of US$5,000,000 will become payable pursuant to the Cornish Share Purchase Agreement relating to the Company's acquisition of the South Crofty project, the terms of which have previously been announced. The number of Galena Milestone Shares to be issued will be determined by reference to an exchange rate five business days prior to issuance (being the date of Admission). The Company is required to satisfy this obligation by the issue of the Galena Milestone Shares at the Issue Price to Galena Special Situations Limited and Tin Shield Production Inc. following completion of the Fundraising and following (and subject to) the final investment decision.

It is expected that the Galena Milestone Shares will be issued at the same time as the Fundraising Shares, that is, on Admission.

The Redeemable Shares

When the Company was first incorporated on 28 May 2025, it issued £50,000 of Redeemable Shares to certain persons connected with the Company. The Redeemable Shares do not carry any voting, dividend or distribution rights on a winding up and nor are they admitted to trading on AIM. They were issued solely to meet the legal requirements stipulated by the Act regarding the minimum issued share capital which applies to public limited companies in order for the Company to commence doing business. The Company intended to redeem the Redeemable Shares at the fundraising immediately following their issue. Accordingly, £50,000 of the proceeds received by the Company from the issue of the Fundraising Shares will be used for the purpose of redeeming the Redeemable Shares. The redemption of the Redeemable Shares by the Company will not affect the total voting rights in issue either as at the date of this document or as at Admission.

General Meeting

The Company will convene a General Meeting of the Company to be held on or around 9 November 2026, in order for Shareholders to vote on the Resolutions. A Notice of General Meeting will be sent to Shareholders shortly with full details of the Resolutions.

Importance of vote and irrevocable undertakings

Shareholders should be aware that if the Resolutions are not approved by Shareholders at the General Meeting, the Fundraising will not proceed. As such, the anticipated proceeds of the Fundraising would not become available to the Company. There is no certainty that other funding would be available on suitable terms or indeed at all. It would then be very likely that the Company would not be able to meet an important condition to the drawdown of the Nordic Bonds, which is to complete an equity fundraising of at least US$161 million by 21 November 2026 (unless such date is extended with the bondholders' consent). In this event, the Company would not be able to satisfy its debts as they would then fall due and the Company would not be able to carry on its business as it is presently carried on.

Each of VBR, NWF and the Directors, representing, in aggregate, 57.95 per cent. of the Company’s current issued share capital, has given irrevocable undertakings to exercise the voting rights attaching to the Ordinary Shares held by them in favour of the Resolutions to be proposed at the General Meeting.

The Retail Offer

The Directors value the Company's retail investor base and believe that it is appropriate to provide Retail Investors with an opportunity to participate in the Fundraising alongside institutional investors. The Company therefore intends to open this opportunity to Retail Investors through RetailBook and further announcements will be made shortly in connection with the Retail Offer. For the avoidance of doubt, the Retail Offer is not part of the Placing and is the sole responsibility of the Company. Peel Hunt, Berenberg, SP Angel and Hannam & Partners have no responsibilities, obligations, duties or liabilities (whether arising pursuant to any contract, law, regulation, or tort) in relation to the same.

Attention is drawn to the section headed 'Important Information' in this Announcement and the terms and conditions of the Placing (representing important information for Placees only) in Appendix I to this Announcement.

Information to Distributors

UK Product Governance Requirements

Solely for the purposes of the Product Governance requirements contained within Chapter 3 of the FCA Handbook Product Intervention and Product Governance Sourcebook (the "UK Product Governance Requirements") and disclaiming all and any liability, whether arising in tort, contract or otherwise, which any "manufacturer" (for the purposes of the UK Product Governance Requirements) may otherwise have with respect thereto, the Placing Shares have been subject to a product approval process, which has determined that the Placing Shares are: (i) compatible with an end target market of (a) retail investors, (b) investors who meet the criteria of professional clients and (c) eligible counterparties, each as defined in the FCA Handbook Conduct of Business Sourcebook; and (ii) eligible for distribution through all distribution channels as are permitted by UK Product Governance Requirements (the "UK Target Market Assessment"). Notwithstanding the UK Target Market Assessment, distributors should note that: the price of the Placing Shares may decline and investors could lose all or part of their investment; the Placing Shares offer no guaranteed income and no capital protection; and an investment in the Placing Shares is compatible only with investors who do not need a guaranteed income or capital protection, who (either alone or in conjunction with an appropriate financial or other adviser) are capable of evaluating the merits and risks of such an investment and who have sufficient resources to be able to bear any losses that may result therefrom.

The UK Target Market Assessment is without prejudice to the requirements of any contractual, legal or regulatory selling restrictions in relation to the Placing. Furthermore, it is noted that, notwithstanding the UK Target Market Assessment, the Placing Agents will only procure investors who meet the criteria of professional clients and eligible counterparties.

For the avoidance of doubt, the UK Target Market Assessment does not constitute: (a) an assessment of suitability or appropriateness for the purposes of Chapters 9A or 10A, respectively, of the FCA Handbook Conduct of Business Sourcebook; or (b) a recommendation to any investor or group of investors to invest in, or purchase, or take any other action whatsoever with respect to, the Placing Shares.

Each distributor is responsible for undertaking its own target market assessment in respect of the Placing Shares and determining appropriate distribution channels.

EU Product Governance Requirements

Solely for the purposes of the product governance requirements contained within (a) EU Directive 2014/65/EU on markets in financial instruments, as amended ("MiFID II"), (b) Articles 9 and 10 of Commission Delegated Directive (EU) 2017/593 supplementing MiFID II and (c) local implementing measures (together the "EU Product Governance Requirements") and disclaiming all and any liability, whether arising in tort, contract or otherwise, which any "manufacturer" (for the purposes of the EU Product Governance Requirements) may otherwise have with respect thereto, the Placing Shares have been subject to product approval process, which has determined that the Placing Shares are: (i) compatible with an end target market of (a) retail investors, (b) investors who meet the criteria of professional clients and (c) eligible counterparties, each as defined in MiFID II; and (ii) eligible for distribution through all distribution channels as are permitted by EU Product Governance Requirements (the "EU Target Market Assessment"). Notwithstanding the EU Target Market Assessment, distributors should note that: the price of the Placing Shares may decline and investors could lose all or part of their investment; the Placing Shares offer no guaranteed income and no capital protection; and an investment in the Placing Shares is compatible only with investors who do not need a guaranteed income or capital protection, who (either alone or in conjunction with an appropriate financial or other adviser) are capable of evaluating the merits and risks of such an investment and who have sufficient resources to be able to bear any losses that may result therefrom.

The EU Target Market Assessment is without prejudice to the requirements of any contractual, legal or regulatory selling restrictions in relation to the Placing. Furthermore, it is noted that, notwithstanding the EU Target Market Assessment, the Placing Agents will only procure investors who meet the criteria of professional clients and eligible counterparties.

Furthermore, it is noted that, notwithstanding the UK Target Market Assessment and the EU Target Market Assessment, the Placing Agents will only procure investors who meet the criteria of professional clients and eligible counterparties. For the avoidance of doubt, the EU Target Market Assessment does not constitute: (a) an assessment of suitability or appropriateness for the purposes of MiFID II; or (b) a recommendation to any investor or group of investors to invest in, or purchase, or take any other action whatsoever with respect to the Placing Shares.

Each distributor is responsible for undertaking its own target market assessment in respect of the Placing Shares and determining appropriate distribution channels.

Bookbuild

The Placing Agents will today commence the bookbuilding process in respect of the Placing (the "Bookbuild") to determine demand for participation in the Placing by Placees. The book will open with immediate effect. This Appendix gives details of the terms and conditions of, and the mechanics of participation in, the Placing. No commissions will be paid to Placees or by Placees in respect of any Placing Shares. Members of the public are not entitled to participate in the Placing.

The Placing Agents and the Company shall be entitled to effect the Placing by such alternative method to the Bookbuild as they may, in their absolute discretion, determine.

Details of the Placing Agreement and of the Placing Shares

The Company has today entered into an agreement (the "Placing Agreement") with the Placing Agents under which, subject to the terms and conditions set out therein, each Placing Agent has agreed, as agent for and on behalf of the Company, to use its reasonable endeavours to procure Placees for new ordinary shares of £0.0005 each in the capital of the Company (the "Placing Shares"), in such number, if any, to be determined following completion of the Bookbuild and as may be agreed between the Placing Agents and the Company and set out in the executed term sheet (the "Term Sheet"). For the avoidance of doubt, the Placing is not being underwritten. In the event that the Placing Agents acquire Placing Shares in the Placing, they may co-ordinate disposals of such shares in accordance with applicable law and regulation. Except as required by applicable law or regulation, the Placing Agents do not propose to make any public disclosure in relation to such transactions.

The Placing Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing ordinary shares of £0.0005 each in the capital of the Company (the "Ordinary Shares"), including the right to receive all dividends and other distributions declared, made or paid in respect of such Ordinary Shares after the date of issue of the Placing Shares, and will be issued free of all claims, liens, charges, encumbrances and equities.

Application for admission

Application will be made to London Stock Exchange plc (the "London Stock Exchange") for admission of the Placing Shares to trading on AIM ("Admission").

It is expected that Admission will become effective at or around 8.00 a.m. on 10 November 2026 (or such later time and/or date as may be agreed between the Company and the Placing Agents) and that dealings in the Placing Shares will commence at that time.

Participation in, and principal terms of, the Placing

  1. Peel Hunt and Berenberg (the “Joint Bookrunners”) are acting as joint bookrunners and placing agents of the Company in connection with the Placing. SP Angel and Hannam are also acting as placing agents of the Company in connection with the Placing.
  2. Participation in the Placing will only be available to persons who may lawfully be, and are, invited to participate by the Placing Agents. The Placing Agents and their respective agents and affiliates are each entitled to enter bids in the Bookbuild as principal.
  3. The price per Placing Share payable to the Placing Agents by all Placees whose bids are successful is 60 pence (the "Placing Price"). The final number of Placing Shares will be determined by the Joint Bookrunners (after consultation with each other and with the Company and having taken into account the Company’s reasonable requests) following completion of the Bookbuild. The final number of Placing Shares to be issued will be announced on an FCA-listed regulatory information service (a "Regulatory Information Service") following the completion of the Bookbuild.
  4. To bid in the Bookbuild, prospective Placees should communicate their bid by telephone or in writing to their usual sales contact at the relevant Placing Agent. Each bid should state the number of Placing Shares which the prospective Placee wishes to subscribe for at the Placing Price. Bids may be scaled down by the Placing Agents on the basis referred to in paragraph 11 below.
  5. A bid in the Bookbuild will be made on the terms and subject to the conditions in this Appendix and will be legally binding on the Placee on behalf of which it is made and, except with the relevant Placing Agent’s consent, will not be capable of variation or revocation after the time at which it is submitted. Each Placee's obligations will be owed to the Company and the relevant Placing Agent. Each Placee will also have an immediate, separate, irrevocable and binding obligation, owed to the relevant Placing Agent as agent of the Company, to pay in cleared funds immediately on the settlement date, in accordance with the registration and settlement requirements set out below, an amount equal to the product of the Placing Price and the number of Placing Shares such Placee has agreed to subscribe for and the Company has agreed to allot to them.
  6. The Bookbuild is expected to close no later than 7.00 p.m. (London time) on 21 October 2026, but may be closed earlier or later at the absolute discretion of the Placing Agents (following consultation with the Company). The Placing Agents may, in agreement with the Company, accept bids that are received after the Bookbuild has closed.
  7. Each prospective Placee's allocation will be determined by the Joint Bookrunners, after consultation with each other and with the Company and having taken into account the Company’s reasonable requests and will be confirmed orally or in writing by the relevant Placing Agent (as agent of the Company) following the close of the Bookbuild. This confirmation to such Placee will constitute an irrevocable legally binding commitment upon that person (who will at that point become a Placee) in favour of the relevant Placing Agent and the Company to subscribe for the number of Placing Shares allocated to it at the Placing Price on the terms and conditions set out in this Appendix and in accordance with the Company's articles of association and each Placee will be deemed to have read and understood this Announcement (including this Appendix) in its entirety.
  8. All obligations under the Bookbuild and Placing will be subject to fulfilment or, where applicable, waiver of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to below under "Right to terminate under the Placing Agreement".
  9. By participating in the Bookbuild, each Placee agrees that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee after confirmation (oral or otherwise) by a Placing Agent.
  10. Each prospective Placee's allocation and commitment will be evidenced by a trade confirmation issued to such Placee by a Placing Agent. The terms of this Appendix will be deemed incorporated by reference therein.
  11. Subject to paragraphs 4 and 5 above, the Placing Agents may choose to accept bids, either in whole or in part, on the basis of allocations determined by the Joint Bookrunners, after consultation with each other and with the Company and having taken into account the Company’s reasonable requests and may scale down any bids for this purpose on such basis as they may determine. The Placing Agents may also, notwithstanding paragraphs 4 and 5 above, subject to the prior consent of the Company (i) allocate Placing Shares after the time of any initial allocation to any person submitting a bid after that time; and (ii) allocate Placing Shares after the Bookbuild has closed to any person submitting a bid after that time. The Company reserves the right (upon prior agreement, which shall not be unreasonably withheld or delayed with the Joint Bookrunners) to reduce or seek to increase the amount to be raised pursuant to the Placing.
  12. Except as required by law or regulation, no press release or other announcement will be made by the Placing Agents or the Company using the name of any Placee (or its agent), in its capacity as Placee (or agent), other than with such Placee's prior written consent.
  13. Irrespective of the time at which a Placee's allocation pursuant to the Placing is confirmed, settlement for all Placing Shares to be subscribed for pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and settlement".
  14. To the fullest extent permissible by law, neither the Placing Agents or the Company or any of their respective affiliates or any of their respective Representatives shall have any responsibility or liability (whether in contract, tort or otherwise) to Placees (or to any other person whether acting on behalf of a Placee or otherwise). In particular, neither the Placing Agents or the Company or any of their respective affiliates or any of their respective Representatives shall have any responsibility or liability (whether in contract, tort or otherwise and including to the fullest extent permissible by law, any fiduciary duties) in respect of the conduct of the Bookbuild or of such alternative method of effecting the Placing as the Placing Agents and the Company may agree.

Conditions of the Placing

The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms. The obligations of the Placing Agents under the Placing Agreement in respect of the Placing Shares are conditional on, inter alia:

  1. NWF having executed the legally binding NWF Subscription Agreement and such agreement not having been terminated, all conditions to the NWF Subscription Agreement (other than Admission and any condition therein relating to the Placing Agreement, the NWF Debt Set-Off Deed, the Participating Director and Investor Subscription Letters, the VBR Subscription Agreement, the VBR Debt Set-Off Deed, the Retail Offer and/or the Glencore Subscription Agreement) having been met or waived and each party having complied with its obligations as they fall to be performed;
  2. VBR having executed the legally binding VBR Subscription Agreement, and such agreement not having been terminated, all conditions to the VBR Subscription Agreement (other than Admission and any condition therein relating to the Placing Agreement, the VBR Debt Set-Off Deed, the Participating Director and Investor Subscription Letters, the NWF Subscription Agreement, the NWF Debt Set-Off Deed, the Retail Offer and/or the Glencore Subscription Agreement) having been met or waived and each party having complied with its obligations as they fall to be performed;
  3. Glencore having executed the legally binding Glencore Subscription Agreement and such agreement not having been terminated, all conditions to the Glencore Subscription Agreement (other than Admission and any condition therein relating to the Placing Agreement, the Participating Director and Investor Subscription Letters, the NWF Subscription Agreement, the NWF Debt Set-Off, the VBR Subscription Agreement, the Retail Offer and/or the VBR Debt Set-Off Deed) having been met or waived and each party having complied with its obligations as they fall to be performed;
  4. each of the warranties being true and accurate and not misleading on and as of (i) the date of the Placing Agreement, (ii) the date the General Meeting takes place and (iii) the date of Admission, as if given and made by reference to the facts and circumstances subsisting at such times;
  5. in the opinion of the Placing Agents acting in good faith, there not having been prior to Admission any Material Adverse Effect since the date of the Placing Agreement (whether or not foreseeable at the date of the Placing Agreement);
  6. the aggregate subscription monies in respect of the Participating Director and Investor Shares having been received by the Company prior to Admission;
  7. the Retail Offer becoming unconditional and not having terminated;
  8. the Company allotting the New Shares subject only to Admission;
  9. the Resolutions having been passed at the General Meeting without material amendment;
  10. none of the Placing Agents having terminated the Placing Agreement in accordance with its terms and conditions prior to Admission; and
  11. Admission having occurred no later than 8.00 a.m. on 10 November 2026.

The Placing Agents may at their discretion waive compliance by the Company with certain of the conditions and/or agree an extension in time for its satisfaction. Any such extension or waiver will not affect Placees' commitments as set out in this Announcement.

If (a) any of the conditions contained in the Placing Agreement, including those described above, are not fulfilled (or, where permitted, waived or extended in writing by the Placing Agents) or become incapable of fulfilment on or before the date or time specified for the fulfilment thereof (or such later date and/or time as the Placing Agents may agree); or (b) the Placing Agreement is terminated in the circumstances specified below, the Placing will not proceed and the Placees' rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by the Placee in respect thereof.

Neither the Placing Agents nor any of their respective affiliates nor any of their respective Representatives shall have any responsibility or liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision they may make as to whether or not to waive or to extend the time and/or the date for the satisfaction of any condition to the Placing nor for any decision they may make as to the satisfaction of any condition or in respect of the Placing generally, and by participating in the Placing each Placee agrees that any such decision is in the absolute discretion of the Placing Agents.

By participating in the Bookbuild, each Placee agrees that its rights and obligations hereunder terminate only in the circumstances described above and under "Right to terminate under the Placing Agreement" below, and will not be capable of rescission or termination by the Placee.

Restriction on further issue of securities

The Company has undertaken that it will not, and will procure that none of its subsidiaries will, at any time between the date of the Placing Agreement and the date which is 6 months after the date of Admission without the prior written consent of each Placing Agent (such consent to not be unreasonably withheld or delayed) enter into certain transactions involving or relating to the issuance of Ordinary Shares, subject to certain customary and non-customary carve-outs agreed between the Placing Agents and the Company including, inter alia:

  • the issuance of Ordinary Shares to Galena Special Situations Limited and Tin Shield Production Inc. pursuant to the terms of the Cornish Share Purchase Agreement;
  • pursuant to the entry into a joint venture or similar agreement for the exploration of mineral rights in Cornwall over which the Company has or will have an interest, equity or otherwise not exceeding the greater of, in aggregate, either (i) £5,000,000 or (ii) 10% of the issued Ordinary Shares at the time of entry into such joint venture;
  • potential strategic opportunities, including the acquisition of mineral interests, exploration projects and complementary assets both within and outside the United Kingdom, subject to such transactions not resulting in shares being issued by the Company with a market value in excess of £7,000,000 without the Banks’ consent;
  • pursuant to procurement activities directly related to the advancement of the South Crofty Project towards construction, including, inter alia:
    • acquisition of freehold and/or leasehold property interests;
    • acquisition of plant and equipment and other tangible fixed assets
    • acquisition of mineral licences and other intangible fixed assets; and
    • settlement of contractor or sub-contractor costs.

By participating in the Placing, Placees agree that the exercise by the Placing Agents of any power to grant consent to waive the above undertaking by the Company in respect of a transaction which would otherwise be subject to such undertaking in the Placing Agreement shall be within the absolute discretion of the Placing Agents, and that neither the Placing Agents nor the Company need to make any reference to, consult with, or seek consent from, Placees and that the Placing Agents shall have no liability to Placees whatsoever in connection with any such exercise of the power to grant consent or failure so to exercise.

Right to terminate under the Placing Agreement

At any time before Admission, any Placing Agent (a “Terminating Placing Agent”) is entitled to, in its sole and absolute discretion, terminate the Placing Agreement in the following circumstances, amongst others:

  1. where, in the opinion of the Terminating Placing Agent (acting in good faith), the Company has breached or cannot in any respect comply with any of its material obligations under the Placing Documents;
  2. where, in the opinion of the Terminating Placing Agent (acting in good faith), there has been or reasonably could be, a breach of any of the warranties contained in the Placing Agreement;
  3. NWF fails to comply with any of its obligations or undertakings under the NWF Subscription Agreement, save for any such non-compliance which in the opinion of Peel Hunt or Berenberg, acting in good faith, is not material in the context of the Placing or Admission;

  7. where, in the opinion of the Terminating Placing Agent (acting in good faith), any statement contained in any Placing Document is or has become untrue, incorrect or misleading, or any matter has arisen, which would, if the Placing were made and/or Admission became effective at that time, constitute a material omission from any of the Placing Documents; and
  8. where, in the opinion of the Terminating Placing Agent (acting in good faith), a Material Adverse Effect has occurred or any development or event (or any development or event involving a prospective change) which will or is reasonably likely to have a Material Adverse Effect occur.

Any termination by any Placing Agent of their respective rights under the Placing Agreement shall be without prejudice to the obligations (if any) and rights of the other Placing Agents and, if such a Placing Agent so elects, the Placing Agreement shall continue in full force and effect. In the event of a Placing Agent terminating its rights under the Placing Agreement, no consents or approvals in respect of the Placing shall be required of that Placing Agent.

By participating in the Placing, Placees agree that the exercise or non-exercise by a Placing Agent of any right of termination or other discretion under the Placing Agreement shall be within the absolute discretion of such Placing Agent, and that neither the Placing Agents nor the Company need to make any reference to, consult with, or seek consent from, Placees and that neither the Placing Agents nor the Company shall have any liability to Placees whatsoever in connection with any such exercise or failure so to exercise.

No prospectus

No offering document or prospectus has been or will be prepared or submitted to be approved by the FCA or submitted to the London Stock Exchange or in any other jurisdiction in relation to the Placing. All offers of the Placing Shares will be made under an exception to the prohibition on offers to the public under the POATRs, and also pursuant to an exemption under the FCA's Prospectus Rules: Admission to Trading on a Regulated Market sourcebook (the "PRM Sourcebook") or the EU Prospectus Regulation from the requirement to produce a prospectus (as applicable). Placees' commitments will be made solely on the basis of their own assessment of the Company, the Placing and the Placing Shares based on information contained in this Announcement (including this Appendix) and any information publicly announced to a Regulatory Information Service by or on behalf of the Company simultaneously with or prior to the date of this Announcement, and subject to the further terms set forth in the trade confirmation to be provided to individual prospective Placees. Each Placee, by accepting a participation in the Placing, agrees that the content of this Announcement and all other publicly available information previously and simultaneously published by or on behalf of the Company by notification to a Regulatory Information Service is exclusively the responsibility of the Company and has not been independently verified by the Placing Agents. Each Placee, by accepting a participation in the Placing, further confirms that it has neither received nor relied on any other information, representation, warranty or statement made by or on behalf of the Company, the Placing Agents or any other person and neither the Placing Agents or the Company or any of their respective affiliates or any of their respective Representatives will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placee may have obtained or received. Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of the Company in accepting a participation in the Placing. Nothing in this paragraph shall exclude or limit the liability of any person for fraud or fraudulent misrepresentation by that person.

Registration and settlement

Settlement of transactions in the Placing Shares (ISIN: GB00BSLNG492) following Admission will take place within the CREST system, subject to certain exceptions. In the event of any difficulties or delays in the admission of the Placing Shares to CREST or the use of CREST in relation to the Placing, the Company and the Placing Agents may agree that the Placing Shares should be issued in certificated form. The Placing Agents and the Company reserve the right to require settlement for and delivery of the Placing Shares (or a portion thereof) to Placees in certificated form or by such other means as they deem necessary if delivery or settlement is not possible or practicable within the CREST system or would not be consistent with the regulatory requirements in the Placee's jurisdiction.

Following the close of the Bookbuild, each Placee allocated Placing Shares in the Placing will be sent a trade confirmation stating the number of Placing Shares to be allocated to it at the Placing Price and settlement instructions. It is expected that such trade confirmation will be despatched on or around 10 November 2026 and that this will also be the trade date.

Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with the standing CREST or certificated settlement instructions that it has in place with the relevant Placing Agent.

The Company will deliver the Placing Shares to a CREST account operated by Peel Hunt, SP Angel and Hannam (as relevant) as agents for the Company and Peel Hunt (on behalf of itself and Berenberg), SP Angel and Hannam will each enter its delivery (DEL) instruction into the CREST system. Peel Hunt (on behalf of itself and Berenberg), SP Angel and Hannam will hold any Placing Shares delivered to these accounts as nominee for the Placees until settlement. The input to CREST by a Placee of a matching or acceptance instruction will then allow delivery of the relevant Placing Shares to that Placee against payment.

It is expected that settlement will be on 10 November 2026 on a T+1 basis and on a delivery versus payment basis in accordance with the instructions given to the Placing Agents.

Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above SONIA as determined by the Placing Agents.

Each Placee is deemed to agree that, if it does not comply with these obligations, the Placing Agents may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for the account and benefit of the Placing Agents, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and may be required to bear any stamp duty or stamp duty reserve tax or other similar taxes (together with any interest or penalties thereon) imposed in any jurisdiction which may arise upon the sale of such Placing Shares on such Placee's behalf. By communicating a bid for Placing Shares, each Placee confers on the Placing Agents all such authorities and powers necessary to carry out any such transaction and agrees to ratify and confirm all actions which the Placing Agents lawfully takes on such Placee's behalf.

If Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the trade confirmation is copied and delivered immediately to the relevant person within that organisation.

Insofar as Placing Shares are registered in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to UK stamp duty or stamp duty reserve tax. If there are any other circumstances in which any stamp duty or stamp duty reserve tax or other similar taxes (and/or any interest, fines or penalties relating thereto) is payable in respect of the allocation, allotment, issue or delivery of the Placing Shares (or for the avoidance of doubt if any stamp duty or stamp duty reserve tax is payable in connection with any subsequent transfer of or agreement to transfer Placing Shares), neither the Placing Agents nor the Company shall be responsible for the payment thereof.

Placees (or any nominee or other agent acting on behalf of a Placee) will not be entitled to receive any fee or commission in connection with the Placing.

It agrees that if any of the acknowledgements, representations, warranties, undertakings and agreements made in connection with its subscribing and/or acquiring of Placing Shares is no longer true or accurate, it shall promptly notify the Company and the Placing Agents.

The foregoing representations, warranties, confirmations, acknowledgements, agreements and undertakings are given for the benefit of the Company and the Placing Agents (for their own benefit and, where relevant, the benefit of their respective affiliates and their respective Representatives and any person acting on behalf of any of them) and are irrevocable.

The agreement to allot and issue Placing Shares to Placees (or the persons for whom Placees are contracting as nominee or agent) free of stamp duty and stamp duty reserve tax relates only to their allotment and issue to Placees, or such persons as they nominate as their agents, direct from the Company for the Placing Shares in question. Such agreement is subject to the representations, warranties and further terms above and assumes, and is based on the warranty and representation from each Placee, that the Placing Shares are not being acquired in connection with arrangements to issue depositary receipts or to issue or transfer the Placing Shares into a clearance service. If there are any such arrangements, or the settlement relates to any other dealing in the Placing Shares, stamp duty or stamp duty reserve tax or other similar taxes may be payable, for which neither the Company nor the Placing Agents will be responsible and each Placee shall indemnify on an after-tax basis and hold harmless the Company, the Placing Agents and their respective affiliates and their respective Representatives for any stamp duty or stamp duty reserve tax or other similar tax paid or otherwise payable by them in respect of any such arrangements or dealings. If this is the case, each Placee should seek its own advice and notify the Placing Agents accordingly.

Neither the Company nor the Placing Agents are liable to bear any capital duty, stamp duty and all other stamp, issue, securities, transfer, registration, documentary or other duties or taxes (including any interest, fines or penalties relating thereto) payable in or outside the United Kingdom by any Placee or any other person on a Placee's acquisition of any Placing Shares or the agreement by a Placee to acquire any Placing Shares. Each Placee agrees to indemnify on an after-tax basis and hold harmless the Company, the Placing Agents and their respective affiliates and their respective Representatives from any and all interest, fines or penalties in relation to any such duties or taxes.

Each Placee should seek its own advice as to whether any of the above tax liabilities arise and notify the Placing Agents accordingly.

Each Placee, and any person acting on behalf of each Placee, acknowledges and agrees that the Placing Agents and/or any of their respective affiliates may, at their absolute discretion, agree to become a Placee in respect of some or all of the Placing Shares. Each Placee acknowledges and is aware that the Placing Agents are receiving a fee in connection with its role in respect of the Placing as detailed in the Placing Agreement. When a Placee or person acting on behalf of the Placee is dealing with the Placing Agents any money held in an account with the Placing Agents on behalf of the Placee and/or any person acting on behalf of the Placee will not be treated as client money within the meaning of the rules and regulations of the FCA made under FSMA. The Placee acknowledges that the money will not be subject to the protections conferred by the client money rules; as a consequence, this money will not be segregated from a Placing Agent’s money in accordance with the client money rules and will be used by a Placing Agent in the course of its own business; and the Placee will rank only as a general creditor of such Placing Agent.

Past performance is no guide to future performance and persons needing advice should consult an independent financial adviser. The price of shares and any income expected from them may go down as well as up and investors may not get back the full amount invested upon disposal of the shares.

The rights and remedies of the Placing Agents and the Company under these terms and conditions are in addition to any rights and remedies which would otherwise be available to each of them and the exercise or partial exercise of one will not prevent the exercise of others.

All times and dates in this Announcement may be subject to amendment by the Placing Agents (in their absolute discretion). The Placing Agents shall notify the Placees and any persons acting on behalf of the Placees of any changes.

In this Announcement, "after-tax basis" means in relation to any payment made to the Company, the Placing Agents or their respective affiliates or their respective Representatives pursuant to this Announcement where the payment (or any part thereof) is chargeable to any tax, a basis such that the amount so payable shall be increased so as to ensure that after taking into account any tax chargeable (or which would be chargeable but for the availability of any relief unrelated to the loss, damage, cost, charge, expense or liability against which the indemnity is given on such amount (including on the increased amount)) there shall remain a sum equal to the amount that would otherwise have been so payable.
