US Private Placement Notes

Capita is pleased to announce that it has issued notes of $55m (in aggregate £41m, net of swaps) through an issue of unsecured senior notes in the US Private Placement market with a three-year maturity at an annual GBP coupon of 7.54 per cent. The proceeds will be used to refinance existing debt and for general corporate purposes.

Covenant Amendment

Alongside the note issuance, Capita has completed an amendment to the interest cover ratio covenant on the existing US Private Placement notes, to align with the recently announced revolving credit facility and the new US Private Placement issuance, which has now been set within a range of 3.0x to 3.5x. The amendments enhance consistency across the Group's debt facilities and provide additional flexibility, through the Group’s transformation journey.
