                            Directors' Shareholdings


Zytronic plc ('the Company') announces that it has been notified that John
Kennair, Chairman, has today transferred 182,928 Ordinary Shares in the Company
as gifts to family members. Of these, 106,708 are gifted into bare trusts and,
consequently as the first named trustee, John Kennair has the right to vote
these shares. John Kennair retains a beneficial holding of 1,056,000 Ordinary
Shares in the Company, representing 7.21% of the voting rights and he has total
voting rights amounting to 7.94% including the shares gifted into trust.
