                            Voting Rights and Capital


In conformity with the Transparency Directive's transitional provision 6, we are
required to notify the market of the following:

As at the date of this notice the Company's capital consists of 36,402,608
ordinary 5p shares with each share carrying one vote. None of these shares are
held in Treasury. Therefore, the total number of voting rights in Zotefoams plc
is 36,402,608.

The above figure (36,402,608) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Zotefoams plc under the
FSA's Disclosure and Transparency Rules.
