                          ZOTEFOAMS PLC ('ZOTEFOAMS') 

Zotefoams announced on 14 January 2005 that it had received a very preliminary
approach that may or may not lead to an offer being made for its entire issued
share capital.
 

In accordance with Rule 2.10 of the City Code on Takeovers and Mergers,
Zotefoams announces that it has 36,255,772 ordinary shares of 5p each in issue.
A copy of this announcement and the announcement of 14 January 2005 will be sent
to shareholders.
