                     Result of Annual General Meeting ('AGM')

On 30 July 2007, ZOO Digital Group plc announced its preliminary results for the
12 months ended 31 March 2007 and also that the Company had conditionally agreed
to acquire certain assets of Scope Seven, Inc. a company providing compression
and authoring services to a number of video publishers including certain
Hollywood studios.

At the AGM of ZOO, which took place earlier today, all resolutions proposed to,
inter alia, effect the Acquisition and the Placing, were duly passed.

The Acquisition and the Placing remain conditional upon Admission. It is
expected that the Placing Shares will be admitted to trading on AIM and that
dealings will commence on AIM on 28 August 2007.

All terms used in this announcement are defined as set out in the Circular of
the Company dated 30 July 2007.
