Notification of Interests of Directors and Exercise of Options

Zoo Digital Group plc announces that it was informed today that Ian Stewart, the
Company's Chief Executive, today exercised an option to acquire 1,000,000
ordinary shares at a price of 3p per share from Mr Stephen Bailey.

Following the acquisition Mr Stewart holds 52,180,298 ordinary shares in the
Company, representing 23.96 per cent. of the Company's issued ordinary share
capital.  Mr Bailey now holds 7,187,948 ordinary shares in the Company
representing 3.30 per cent. of the Company's issued ordinary share capital.

The Company also announces that Robert Deri, Chief Financial Officer, was today
granted options over 2,252,823 ordinary shares exercisable at a price of 2.5
pence per ordinary share.  Mr Deri has also been granted options by Zoo Employee
Share Trust ('ZEST') over 1,000,000 existing shares owned by ZEST at a price of
nil pence per Ordinary Share.  The above options are granted under the Zoo
Digital Group plc Unapproved Employee Share option Scheme and are exercisable
between 01/01/2004 and 01/01/2014.

Following this notification Mr Deri holds options over 6,505,646 ordinary
shares.

The Company also announces that, on 15 August 2003, it approved the issue and
allotment of 1,000,058 new ordinary shares in the capital of the Company
following an exercise of 1,000,058 share options under the Enterprise Management
Incentive Scheme by former employees as follows:

These shares will rank pari passu with all existing ordinary shares.
Application has been made for admission of the new ordinary shares to trading on
the Alternative Investment Market of the London Stock Exchange and dealings are
expected to commence on 21 August 2003.

The ordinary shares referred to above are ordinary shares of 0.2 pence per
share.  The number of shares in issue following admission is 218,770,184.
