                        ANNOUNCEMENT OF CLOSURE OF BOOKS

The register of members of Zhejiang Expressway Co., Ltd. (the 'Company') will be
closed from 11th January 2003 (Saturday) to 10th February 2003 (Monday) (both
days inclusive) for the purpose of the extraordinary general meeting ('EGM') to
be held on 11th February 2003. No transfers of shares of the Company will be
registered during this period.

An EGM will be convened on Tuesday, 11th February 2003 at 18th Floor, Zhejiang
World Trade Center, 15 Shuguang Road, Hangzhou 310007, the People's Republic of
China (the 'PRC') for the purpose of the appointment of new directors and
supervisors of the Company. A notice of EGM will be despatched to shareholders
of the Company today.

The register of members of the Company will be closed from 11th January 2003 to
10th February 2003 (both days inclusive). Holders of domestic shares and H
shares of the Company whose names appear on the register of members of the
Company at the close of trading on 10th January 2003 (Friday) shall have the
right to attend the EGM.
