Conversion of Convertible Loan Notes

and

Total voting rights

 

XP Factory announces that it has received a Noteholder Notice of Conversion in relation to all of its outstanding Convertible Loan Notes ("Notes") together with all accrued interest.  £340,000 Notes were issued by the Company on 2 July 2020 as part of the £4.3 million fundraising completed at that time and accrue interest at 10 per cent. per annum.  In accordance with the terms of the Notes, the conversion price is 9p per share and the conversion of the principal amount of the Notes, together with accrued interest, will result in the issue by the Company of 4,378,082 new XP Factory shares ("New Ordinary Shares") on 2 February 2022.  

Application will be made for admission of the New Ordinary Shares to trading on AIM ("Admission"). It is expected that Admission will become effective and dealings in the Ordinary Shares will commence at 8.00 a.m. on 3 February 2022.

 Total Voting Rights

Upon Admission, the Company's total issued share capital will be 150,383,180   Ordinary Shares and the Company does not hold any shares in treasury. This figure may be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
