NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS

The Company received a notification on 24 October 2005 from Barclays Private
Bank & Trust Limited as trustees of the Xaar Plc Employee Benefit Trust
informing it that the trustees purchased on 21 October 2005 50,000 shares and on
24 October 2005 18,889 shares both at 255p per share.


The Trustees total interest is 956,389 shares representing 1.57% of the Com
pany's issued ordinary share capital. The announcement is made due to the
potential interest of the Directors and persons discharging managerial
responsibility.
