WPP Group PLC 6 November 2001 NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION IN OR INTO AUSTRALIA, CANADA OR JAPAN WPP GROUP PLC OFFER FOR TEMPUS GROUP PLC On 5 November 2001, WPP announced that its Offer for Tempus had been extended to midnight on 12 November 2001. WPP has notified the Takeover Panel that it does not intend to apply for leave to appeal to the Appeal Committee against the decision of the Takeover Panel (as announced on 1 November 2001). Accordingly, WPP's Offer for Tempus is now unconditional in all respects and the Offer remains open until further notice. Throughout the bid process, the Board of WPP has remained convinced of the long term strategic benefits of combining WPP with Tempus, particularly in connection with the merger of CIA and TME and the combination of the Tempus strategic marketing businesses with WPP's strategic marketing consultancies. WPP's objective is now for both management teams to work closely together to integrate the two businesses and capitalise on the strategic benefits as quickly as possible.
