On 11 December 2001 WPP received the following notification pursuant to
section 198-202 of the Companies Act 1985 from T. Rowe Price Associates. The
registered interests are those of T. Rowe Price Associates, Inc. and its
affiliates (together known as T. Rowe Price).


T. Rowe Price has an interest in 33,669,910 ordinary shares in WPP
representing 2.94% of the issued share capital of the company.
