WPP was notified on 6 March 2003 of share vestings to directors of the company,
pursuant to the terms of the WPP Performance Share Plans (PSP) for the periods
1998 - 2000 and 1999 - 2001 and 2000 - 2002.

Sir Martin Sorrell's interests under the 1999 - 2001 PSP and the 2000 - 2002 PSP
is 93,812 shares, which he continues to hold under the Plans following his
election to defer the vesting of the shares beyond 31 December 2003. Sir Martin
Sorrell has an interest in 13,573,889 shares representing 1.17% of the issued
share capital of WPP.

In total 40,868 shares from the three Plans vested for Mr Paul Richardson, which
have been sold to fund personal financial obligations falling due at this time.
Mr Richardson's beneficial holding remains at 348,849 shares representing 0.030%
of the issued share capital of WPP.
