would like to notify the market of the following:





  • Worthington Group plc's capital consists of 11,807,013 ordinary

    shares of 10p each with voting rights

  • Worthington Group plc does not hold any ordinary shares in

    Treasury





Therefore, the total number of voting rights in Worthington Group plc

is 11,807,013.





The above figure (11,807,013) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Worthington Group plc under
