Resignation of Finance Director

The Company announces that they were officially informed yesterday, 12th
September 2002, that Mr Stephen Fletcher has resigned as the Finance Director of
Worthington Group PLC and its subsidiary companies with immediate effect. His
proposed resignation was previously announced in the Chairman's Statement of the
Preliminary Announcement dated 12th July 2002.
