WORTHINGTON GROUP plc

Mr J C Dwek, CBE, Chairman, has acquired 16,183,081 shares in Worthington Group
previously held by Penmarric plc, a company controlled by the Dwek family. There
is therefore no change in Mr Dwek's beneficial interests in the company.

Mr S Friedland has acquired 1 million shares in Worthington Group, raising his
beneficial interests to 8,926,250 shares.
