The Board of Directors of Worldsec Limited announces that

(i)  Mr Yasumine SATAKE has been appointed as a non-executive director of the   
     Company effective from 9 July 2001, and Mr Kenji KAWAMURA be appointed as  
     his alternative with effect from 9 July 2001;

(ii) Mr Yoshiaki WATANABE has been appointed as a non-executive director of the 
     Company effective from 9 July 2001;

(iii)Mr Yoichi KAMBARA has resigned as a non-executive director of the          
     company with effect from 9 July 2001;

(iv) Mr Shigeyau KASAMATSU has resigned as a non-executive director of the      
     Company with effect from July 2001; and

(v)  Ms Winnie Hui Ming PAO has resigned as a director of the Company with      
     effect from 9 July 2001.
