'Distribution out of Contributed Surplus Account

The Board of Directors of Worldsec has resolved to pay a distribution out of the
contributed surplus account of US$0.70 per ordinary share of par value US$0.001
to shareholders whose names appear on the register of members at the close of
business in London on 13 April 2004 (record date) and that it is the intention
such distribution is to be paid on the 28 April 2004.
