Wood Group (John) PLC 03 August 2005 RNS ANNOUNCEMENT - 3 August 2005 John Wood Group PLC ('Company') The Company was informed that on 28 July 2005, the Trustees of the John Wood Group PLC Employee Share Trust (the 'EST'): • sold 32,549 ordinary shares in the capital of the Company at a £2.0449 per share, being 0.0066% of the share capital of the Company; and • transferred 177,451 ordinary shares in the capital of the Company at a consideration, of 17 1/3 pence per share being 0.0361% of the share capital of the Company, to employees of the Company, and its subsidiaries, exercising share options under the John Wood Group PLC 2000 Approved Executive Share Option Scheme and the John Wood Group PLC 2000 Unapproved Executive Share Option Scheme (together 'Schemes'). The Company was also informed that on 1 August 2005, the Trustees of the John Wood Group PLC Employee Share Trust was allotted 1,350,000 ordinary shares in the capital of the Company at subscription price of 17 1/3 pence per share. Such shares were allotted to the EST in order to satisfy obligations arising from share options granted under The John Wood Group PLC 2000 Approved Executive Share Option Scheme and the John Wood Group PLC 2000 Unapproved Executive Share Option Scheme (together 'Schemes'). Following these transactions, the EST holds a total of 20,653,705 ordinary shares representing 4.2069% of the share capital of the Company. The class of discretionary beneficiaries for whom the EST holds such shares consists of employees of the Company, including the following executive directors of the Company: Allister G Langlands, Wendell R Brooks, Alan G Semple, Trevor M Noble and Leslie J Thomas.
