                           Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6, the
Company notifies the market of the following:

As at 28 February 2007, Witan Investment Trust plc's capital with voting rights
consists of 258,287,338 ordinary shares of 25p each.  On a poll members have one
vote for every £1 in nominal value (ie four shares are required per vote).  The
Company has no shares in Treasury.

Therefore, the total number of voting rights in Witan Investment Trust plc is
258,287,338.

The above figure (258,287,338) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Witan Investment Trust plc
under the FSA's Disclosure and Transparency Rules.
