                           Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:

Witan Investment Trust plc's capital consists of 261,204,887 ordinary shares of
25p each with voting rights.  Members have one vote for every £1 in nominal
value (ie four shares are required one vote).  The Company has no shares in
Treasury.

Therefore, the total number of voting rights in Witan Investment Trust plc is
261,204,887.

The above figure (261,204,887) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Witan Investment Trust plc
under the FSA's Disclosure and Transparency Rules.
