                      Results of Placing and Open Offer                       

The Company is pleased to announce that valid applications have been received
from Qualifying Shareholders for 2,796,514 new Ordinary Shares under the Open
Offer announced on 17 February 2000 which closed today. This number represents
73.9 per cent. of the 3,783,330 new Ordinary Shares which were placed subject
to clawback after the exclusion of the 3,506,297 new Ordinary Shares which
were placed firm. The remaining 986,816 new Ordinary Shares subject to the
Open Offer will be taken up by placees. It is expected that the new Ordinary
Shares will be admitted to the Official List on 10 March 2000.
