Share Awards / Directors / PDMR holdings

As announced on 19 October 2015, 478,270 ordinary shares of 5p vested ("Vested Shares") under the Wilmington plc (the "Company") 2012 Performance Share Plan ("2012 PSP").  The admission and allocation of these shares has resulted in shares being allocated to employees and former employees and in accordance with DTR 3.1.2,

·     Anthony Foye an Executive Director has acquired a further 197,532 ordinary shares in the Company under the 2012 PSP bringing his resultant holding of ordinary shares of 5 pence each to 697,532 which is 0.8% of the issued share capital with voting rights.

·     Charles Brady an Executive Director retains his existing 4,493,819 shares which is 5.17% of the issued share capital with voting rights.

·     Linda Wake a PDMR has acquired 15,203 ordinary shares of 5 pence each in the Company bringing her resultant holding of ordinary shares of 5 pence each to 55,105 which is 0.06% of the issued share capital with voting rights.  

The Directors, employees and former employees have to pay tax at their marginal income tax rates on the value of the shares awarded to them. Under Shareholding guidelines for Executive Directors, which the Company has adopted, Executive Directors are expected to retain 50% of vested shares (net of taxes) until such time as their personal shareholding reaches the equivalent of 100% of the pre-tax base salary.  Charles Brady, an Executive director, having exceeded the guidance, has sold all his 2012 Vested Shares (132,040). The sales occurred on 20 October 2015 in London at an average of 270 pence per share.
