WHITBREAD SCRIP DIVIDEND SCHEME

In relation to the dividend for the year ended 28 February 2013, the price of a new ordinary share under the scrip dividend alternative has been set at 2791.8 pence.  This is the average of the Company's middle market closing price for the five consecutive dealing days commencing on the ex‑dividend date of 15 May 2013.

Shareholders wishing to participate in the scrip dividend scheme may do so either by electing electronically through the shareholder portal at www.whitbread-shares.com, or by completing a mandate form, which can be requested by telephoning 0844 855 2327, and returning it to the Company's Registrar at:

Shareholders who hold their shares in CREST and wish to elect to participate must do so by means of CREST procedures.  All elections to participate in the scrip dividend scheme (whether by completing the mandate form or electronically) must be received by the Registrar by no later than 5.00 pm on 14 June 2013.
