Voting Rights and Capital

In accordance with the Disclosure and Transparency rule 5.6.1, Whitbread PLC is required to notify the market of the following:

At the close of business on the 31 December 2014, Whitbread PLC had 194,812,142 ordinary shares in issue, of which 13,335,806 were held in Treasury. Therefore the total number of voting rights in Whitbread PLC was 181,476,336. The ordinary shares have a nominal value of 76 122/153p each.

The above figure of 181,476,336 shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest, in Whitbread PLC under the FCA's Disclosure and Transparency rules.
