WHITBREAD SCRIP DIVIDEND SCHEME

As announced on 5 May 2009, the Company intends (subject to shareholder approval at the forthcoming Annual General Meeting) to offer shareholders the opportunity to take new ordinary shares, credited as fully paid, in lieu of cash dividends, by participating in a scrip dividend scheme.

In relation to the final dividend for the year ended 26 February 2009, the price of a new ordinary share under the scrip dividend alternative has been set at 898.40 pence. This is the average of the Company's middle market closing price for the five consecutive dealing days commencing on the exߛdividend date of 6 May 2009.

Shareholders wishing to elect to participate in the scrip dividend scheme may do so either by completing a mandate form and returning it to the Company's Registrar, Capita Registrars at New Issues Department, The Registry, 34 Beckenham Road, Beckenham, Kent BR3 4TU or electronically through the shareholder portal at www.whitbread.shares.com. Shareholders who hold their shares in CREST must elect to participate by means of CREST procedures. All elections to participate in the scrip dividend scheme (whether by completing the mandate form or electronically) must be received by the Registrar by no later than 5.00 pm on 5 June 2009.

If shareholders who hold their shares in CREST have previously elected, by means of CREST procedures, to participate in the Dividend Reinvestment Plan, any such election must be cancelled before electing to participate in the scrip dividend scheme.
