WHITBREAD PLC

Whitbread was notified on 1 August 2001 that Mourant & Co. Trustees Limited, as
Trustee of the Whitbread Employees' Share Ownership Plan Trust, on 26 July 2001
acquired 1,003,300 ordinary shares of 50p each in Whitbread PLC at 660p per
share for use under the Whitbread 2001 Approved Executive Share Option Scheme
and the Whitbread 2001 Unapproved Executive Share Option Scheme. All Executive
Directors of the Company are beneficiaries of the Employee Share Ownership
Trust, whose total holding following this acquisition is 1,415,307.

The Company was also notified on 1 August 2001 that Whitbread Share Ownership
Trustees Limited on 26 July acquired 516,540 ordinary shares of 50p each at 660p
for use under the Whitbread Share Ownership Scheme. All Executive Directors and
employees of the Company with at least three year's service are beneficiaries of
the Scheme, whose total holding following this acquisition is 1,439,849. Each of
the Executive Directors was appropriated 45 additional shares under the Scheme
on 31 July 2001.
