                              Total Voting Rights


In conformity with the Transparency Directive the directors of the Company would
like to notify the market of the following:

The Company's capital consists of 14,022,336 ordinary shares with voting rights.
The Company holds no ordinary shares in Treasury.

Therefore, the total number of voting rights in Westminster Group plc is
14,022,336.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Westminster Group plc under the
FSA's Disclosure and Transparency Rules.
