Wereldhave N.V. announces that by mutual agreement Mr. R.L.M. has decided to
step down as director of the Company. This is caused by the decision of the
Supervisory Board on the future composition of the Board of Management and the
available positions within it. Mr. R.L.M. de Ruijter has been a member of
Wereldhave's Board of Management since 1994, together with Mr. G.C.J. Verweij,
Chairman of the Board.

The Supervisory Board intends to propose to the Annual General Meeting of
Shareholders, to be held on March 30, 2006, the nomination of Mr. J. Buijs (40)
as director of the Company. Mr. Buijs joined Wereldhave on June 1, 2000 and has
been Head of the Building Staff Department. Since January 1, 2005, Mr Buijs has
also been director of Wereldhave's real estate management company Wereldhave
Management Holding B.V.. The appointment as director of the Company will be
proposed for a period of 4 years.

Mr. Verweij, who was to retire in 2007, has declared to be available as chairman
of the Board of Management for a longer period. The reappointment of Mr Verweij
will be proposed to the Annual General Meeting of Shareholders for a period of 4
years.
