                          Transfer of Treasury Shares



The  Weir  Group  PLC  ("the  Company")  announces  that on 4 April 2011, 4,522
ordinary  shares  of  12.5p each  held  as  treasury  shares were transferred to
participants  to  satisfy  awards  granted  in  2008 under  the  Group Long Term
Incentive Plan.

Following the above transfer, the Company now holds 1,754,542 ordinary shares in
treasury  and has 211,269,129 ordinary shares in issue (excluding shares held as
treasury shares).
