             Rule 2.10 Announcement - Relevant Securities in Issue

In accordance with Rule 2.10 of the City Code on Takeovers and Mergers, W.H.
Ireland can confirm that its current issued share capital now comprises
15,723,212 ordinary shares of 5 pence each following the issue of 18,791
ordinary shares of 5 pence each pursuant to the W.H. Ireland scrip dividend
scheme, the terms of which were announced on 19 July 2004.


The International Securities Identification Number for  W.H. Ireland Group plc's
ordinary shares is GB0009241885.
