Vp plc (the "Company") announces that on 26 March 2012 it has committed to purchase 3,088,747 ordinary shares at a price of 254p per ordinary share to be held by the Company as Treasury Shares under the authority granted by shareholders at the General Meeting held on 9 March 2012.

On completion the Company will hold a total of 6,030,747 ordinary shares as Treasury Shares out of a total issued share capital of 46,185,000.  The Total Voting Rights of the Company will be 40,154,253 ordinary shares and this number should be used to determine any announceable holdings under the FSA's Disclosure and Transparency Rules (DTR5).
