Result of General Meeting - approval of Tender Offer

Vp plc, the equipment rental specialist, announces that at the General Meeting of the Company held at 10.00am on 9 March 2012, the Special Resolution set out in the Notice of General Meeting dated 10 February 2012 to approve the proposed tender offer described in a circular of the same date was duly passed unanimously by a show of hands.

The votes of those lodged by proxy were as follows:

Number of votes for:	34,350,536	(99.95%)
Number of votes at Chairman's discretion:	4,660	(0.01%)
Number of votes against:	15,267	(0.04%)
Number of votes withheld:	78,047

A copy of the resolution passed at the General Meeting will be submitted to the UK Listing Authority and will shortly be available for inspection at: www.hemscott.com/nsm.do.
