The Remuneration Committee approved on 19th July 2005 the granting by the
Company of awards under the terms of the Vp - Long Term Incentive Plan to each
of the following directors : J F G Pilkington - 130,000 notional shares, N A
Stothard - 130,000 shares and M J Holt - 66,000 shares.



The award will vest only if performance targets are achieved or exceeded during
the period from 1st April 2005 to 31st March 2008.
