The  Remuneration Committee approved on 18 July 2011 the granting by the Company
of  awards under the terms of  the Vp - Long Term  Incentive Plan to each of the
following  directors: JFG  Pilkington -  174,000 notional shares,  NA Stothard -
124,000 shares and AM Bainbridge - 84,000 shares.

The awards will vest only if performance targets are achieved or exceeded during
the period from 1 April 2011 to 31 March 2014.
