                             Director Shareholding

On 7 May 2004 the Company issued to James Hay Pension Trustees Limited, as
pensions manager for Mr David Buchler, a Non-Executive Director of the Company,
28,985 new £0.0000001 Ordinary Shares for a consideration of 172.5p per Ordinary
Share. Following this purchase Mr Buchler's total holding of Ordinary Shares
amounts to 28,985 shares, which represents 0.8% of the Company's issued Ordinary
Share capital.

The Company has applied for these new Ordinary Shares to be admitted to AIM and
trading is expected to commence on 13 May 2004, following which the Company's
issued Ordinary Share capital will be 3,638,705 Ordinary Shares.
