Preference Share Dividends

Volex Group PLC 03 September 2003 VOLEX GROUP p.l.c. PREFERENCE SHARE DIVIDENDS Following the write down of certain intangible assets in the Company's accounts for the period ended 31 March 2003, the Company does not currently have distributable reserves from which to pay dividends. The Board of Volex Group plc is therefore prohibited from paying the dividend on its outstanding cumulative preference shares. Volex intends to resume dividends on the cumulative preference shares when there are sufficient distributable reserves at the holding company level. Because the preference shares are cumulative, holders will be entitled to receive any passed dividends when the dividend on the cumulative preference shares is resumed. This decision does not prejudice Volex's existing financing arrangements with its lenders and the Group has adequate funding for its foreseeable requirements.
