Director PDMR Shareholding

Volex Group plc (the "Company") announces that on 16th February 2011 Ray Walsh, Chief Executive Officer, purchased 2,500 ordinary shares of the Company, par value £0.25, at a price of US $5.25 per share (£3.26 per share at an exchange rate of 1.611 dollars to sterling). Mr. Walsh executed his trade with a U.S. registered brokerage firm, which conducted the trade in U.S. dollars.  He notified the Company of this trade on 17 February 2011.

The purchase represents 0.004% of the ordinary issued share capital of the Company.  With this purchase, Mr. Walsh now holds a total of 42,500 ordinary shares of Volex Group plc, or a total of

0.068% of the ordinary issued share capital of the Company.

The Company also announces that on 17th February 2011 Michael McTighe, Chairman of the Board, in his own name and in the name of his children, purchased an aggregate of 7,042 ordinary shares of the Company, par value £0.25, at a price of £3.21 per share. He notified the

Company of these trades on 17 February 2011.

The purchases by Mr. McTighe represent 0.011% of the ordinary issued share capital of the Company.  With this purchase, Mr. McTighe now holds (in his name and in the name of his children) a total of 107,042 ordinary shares of the Company, or a total of 0.171% of the ordinary

Issued share capital of the Company.

This announcement is made in accordance with the requirements of the FSA Disclosure and Transparency Rules 3.1.2 to 3.1.4.
