MINORITY SHAREHOLDING


Vodafone Group Plc announces that the transfer of the shares of the minority
shareholders of the former Mannesmann AG to Vodafone Deutschland GmbH was
registered in the Commercial Register on 21 August 2002. Accordingly, Vodafone
now owns 100% of the shares.
